1. Order Acceptance & Contractual Agreement

All quotations provided by Aegis Power Systems, Inc. are valid for thirty (30) calendar days from the date of issue unless specified otherwise in writing. A Purchase Order (PO) issued by the buyer constitutes an offer subject to written confirmation and formal acceptance by Aegis Power Systems.

• Precedence of Terms: Terms stated in buyer purchase orders that conflict with or attempt to modify these Buyers Terms and Conditions are expressly rejected unless accepted in a written amendment signed by an authorized executive of Aegis Power Systems.
• Technical Specifications: Deliverables will strictly conform to mutually agreed-upon baseline drawing packages, datasheets, or Statement of Work (SOW) documentation specified at contract award.

2. Quality Assurance, Defense & Aerospace Standards

Aegis Power Systems operates under a fully certified AS9100D and ISO 9001:2015 quality management system. We maintain stringent traceability, component anti-counterfeiting prevention, and workmanship verification protocols.

Manufacturing & Environmental Compliance Standards

• Workmanship Standards: Soldering and electronic assemblies comply with IPC-A-610 Class 3 / J-STD-001 military-aerospace manufacturing standards.
• Environmental Testing (MIL-STD-810): Ruggedized power units undergo temperature stress screening, vibration, and mechanical shock testing per customer qualification requirements.
• EMI/EMC Compliance: Filtering and power converter topologies are designed to meet MIL-STD-461, MIL-STD-704, MIL-STD-1275, MIL-STD-1399, or DO-160 aircraft standards where specified.
• Counterfeit Parts Mitigation: All active and passive components are acquired directly from Authorized Franchise Distributors or original component manufacturers (OCM) to eliminate counterfeit risks.

3. International Pricing, Currency & Payment Terms

Unless otherwise stated in writing, all financial transactions and pricing are denominated in United States Dollars (USD).

• Payment Terms: Standard credit terms for approved domestic and international buyers are Net 30 days from date of invoice, subject to prior credit approval by Aegis Finance.
• International Transactions: International orders may require payment via Wire Transfer (T/T in advance) or an Irrevocable Letter of Credit (ILC) confirmed by a major US banking institution.
• Taxes and Duties: Stated prices exclude local import tariffs, customs duties, value-added taxes (VAT), or international clearance fees. Buyers assume full responsibility for local taxes incurred upon entry into the destination country.

4. Shipping Terms (INCOTERMS 2020) & ITAR Export Compliance

As an ITAR-registered manufacturer based in the United States, Aegis Power Systems strictly enforces export regulations established by the U.S. Department of State and the U.S. Department of Commerce.

Export Regulations & Freight Guidelines

• Delivery Terms: Default shipping terms are EX Works (EXW Murphy, NC USA - INCOTERMS 2020) or FOB Origin, unless specified otherwise in the accepted sales agreement. Freight costs, insurance, and risk of loss transfer to buyer upon carrier pickup.
• ITAR / EAR Compliance: Certain military power supplies, custom defense electronics, and technical data are regulated by the U.S. International Traffic in Arms Regulations (22 CFR 120-130) or Export Administration Regulations (15 CFR 730-774).
• End-User Certificate (EUC): Overseas buyers must provide valid End-User Statements (DSP-83 or equivalent documentation) when purchasing defense-controlled products prior to shipment export licensing approval.

5. Inspection, Warranty & Return Material Authorization (RMA)

Aegis Power Systems warrants that all standard and custom power supplies delivered to the buyer will be free from defects in material and workmanship under normal use and service.

Warranty Period & RMA Procedure

• Standard Warranty Period: Products are backed by a standard 1-year limited warranty commencing from the date of shipment from our Murphy, NC manufacturing facility. Extended warranty options are available upon purchase order agreement.
• RMA Protocol: Prior to returning any hardware for evaluation, service, or warranty work, buyers must obtain an authorized Return Material Authorization (RMA) tracking number from customer support.
• Inspection & Claims: Claims regarding shipping damages, quantity discrepancies, or visual defects must be reported in writing within ten (10) business days of shipment arrival at buyer location.

6. Proprietary Rights & Confidentiality

Aegis Power Systems retains sole ownership of all intellectual property, proprietary circuit designs, firmware, mechanical CAD models, schematics, and trade secrets created during standard product development or custom engineering projects. Receiving technical documentation or custom power equipment does not grant buyers any license to reproduce or reverse-engineer Aegis power electronic designs.
